The items described in this document are hereby offered for sale at prices to be established by Cumberland Rubber Supply LLC or its subsidiaries and its authorized distributors. This offer and its acceptance by any customer ("Buyer") shall be governed by all of the following Terms and Conditions. Buyer's order for any item described in its document, when communicated to Cumberland Rubber Supply LLC, its subsidiary or an authorized distributor ("Seller') verbally or in writing, shall constitute acceptance of this offer. Your access to browsing and/or use of this site are subject to the following Terms & Conditions and all other terms, conditions or guidelines set out elsewhere in this site, as well as all applicable laws, rules and regulations.
By using this site, you accept and agree to be bound by the following.
Payment Terms:
Terms and Conditions of Sale: All descriptions, quotations, proposals, offers, acknowledgments, acceptances and sales of Seller's products are subject to and shall be governed exclusively by the terms and conditions stated herein.
Buyer's acceptance of any offer to sell is limited to these terms and conditions. Any terms or conditions in addition to, or inconsistent with those stated herein, proposed by Buyer in any acceptance of an offer by Seller, are hereby objected to.
No such additional, different or inconsistent terms and conditions shall become part of the contract between Buyer and Seller unless expressly accepted in writing by Seller.
Seller's acceptance of any offer to purchase by Buyer is expressly conditional upon Buyer's assent to all the terms and conditions stated herein, including any terms in addition to, or inconsistent with those contained in Buyer's offer. Acceptance of Seller's products shall in all events constitute such assent.
In most situations, CRS requires partial payment down to start the order, and the remainder is paid before shipping. Please speak with a representative on the phone for clarification. Most orders are custom orders, for custom orders, we DO NOT accept terms due to the custom nature of the order.
By paying the deposit or full balance, the customer agrees and certifies that the information on the invoice is true and correct. The customer also agrees to pay for the second half upon releasing the goods.
Payment:
We accept Visa, MasterCard, Discover, and American Express credit cards. We also accept wire transfers and checks. If you choose to pay by wire transfer, you will receive instructions on how to send your payment once you submit your order. We do not send out orders until payment is cleared.
In the event of approval of credit, payment shall be made by Buyer net 30 days from the date of delivery of the items purchased hereunder. Any claims by Buyer for omissions or shortages in a shipment shall be waived unless Seller receives notice thereof within 30 days after Buyer's receipt of the shipment. Delinquent accounts at 60 days will be placed for collection. A 1 -1/12% per month (18% yearly) finance charge will be made when past due.
Lead Times:
If we do not have a product in stock, please allow production 1-2 weeks, depending on project size and complexity. Larger projects can require several weeks or months to produce. Most normal orders require a few days to produce parts that pass quality control standards.
Small orders usually ship within 1 to 5 business days. For transit times, see shipping and delivery.
Shipping and Delivery:
We offer shipping quotes as a service for customers. Customers can also set up their own shipping. Regardless of the method of delivery, however, risk of loss shall pass to Buyer upon Seller's delivery to a carrier. Since inventories are not static, any delivery dates shown are approximate only and Seller shall have no liability for any delays in delivery. All freight or shipping charges are the responsibility of the consignee (i.e. buyer). All freight or shipping quotes are estimates provided by carriers and CRS has no control over such costs, hence freight charges are subject to change without notice. All incidental and accessorial charges incurred by third party shipping firms, including fuel surcharges, re-delivery charges, inside deliveries, lift-gate services, or any other services added by the consignee or their agents are the responsibility of the consignee (i.e. buyer.)
Free Shipping Terms:
We do offer free delivery for customers in the Middle Tennessee area.
Incidental Charges:
All incidental and accessorial charges incurred by third party shipping firms, including fuel surcharges, re-delivery charges, missed appointments, inside deliveries, lift-gate services, change of address, or any other services added by the consignee or their agents are the responsibility of the consignee (i.e. buyer.)
All freight or LTL deliveries will ship on pallets, and are available only for curbside or dock delivery only.
Approximate Transit Times:
If products are in stock and are not being custom fabricated, standard transit time for Ground shipping is 3 to 5 business days. Since inventories are not static, any delivery dates shown are approximate only and Seller shall have no liability for any delays in delivery.
Returned Goods:
No material will be accepted without authorization and must be returned within 30 days of invoicing. All returns are subject to a 20% restock fee. Returns must be shipped prepaid. No collect shipments will be accepted. Custom made, custom cut products or non-stock items are not refundable.
At Cumberland Rubber Supply, we go above and beyond to find a solution for your unique situation. Regarding refunds, we do our best to accommodate, however many times, due to shipping costs or custom-built products, we are unable to provide a refund. We do offer a replacement for defective products.
In the case of an approved return, no material will be accepted without authorization and must be returned within 30 days of invoicing. All returns are subject to a 20% restocking fee. Damaged Goods and Shortages:
Buyer should inspect and count articles. Damages and shortages should be documented with photos right after delivery. Damages will be claimed with carrier, damage and concealed damage must be made without delay to report to the carrier.
All customers must agree to the terms in writing or acknowledgment by paying a deposit or full purchase of order prior to the commencement of the order. All Cumberland Rubber Supply Terms and Conditions apply.
Warranty:
Cumberland Rubber Supply offers a warranty on specific products. Product warranty will come with the particular products in a document with paid invoices for specific products. Warranty will not be available in the sale of labeled factory seconds or blems. Products sold without a written warranty before sale are sold "as is." CRS products leave the plant after a full quality control inspection. In the rare occurrence that a part is defective due to a manufacturer defect, we will replace the part. Many of our products have different quality standards due to the application. We can provide details on product guarantees with individual orders. (we reserve the right to determine malfunction)
THIS WARRANTY/REPLACEMENT DOES NOT COVER DISSATISFACTION OR PROBLEMS OR OTHER DAMAGE TO THE MATERIALS AS DESCRIBED BELOW.
This warranty does not extend to:
-Products which have been improperly installed.
-Normal wear and tear of products.
-Products subject to misuse, abuse, neglect, chemical cleaning, adhesives not recommended for use, or contact not specifically approved by manufacturer.
-Products which have been altered, modified, fabricated, or amended in any way.
Manufacturer's sole liability under this limited warranty shall be the repair or replace, excluding installation and other costs, at its option, of a product strictly according to the procedures set forth. In no event shall manufacturer be liable for any special, indirect or consequential damages, whether arising out of contract, tort or any theory of law. Cumberland Rubber Supply. shall not be liable for any damage, loss or claim whatsoever unless the material is installed and used according to the written instructions provided by Cumberland Rubber Supply.
To exercise this limited warranty, manufacturer must be notified within fifteen days of any occurrence giving rise to claim and prior to installation, given opportunity to inspect the product, and have issued direction to the original purchaser respecting disposition of product to be replaced under this limited warranty. Purchaser shall comply with all reasonable requests of manufacturer in the administration of any warranty claim.
NO AGENT OR REPRESENTATIVE OF CUMBERLAND RUBBER SUPPLY HAS ANY EXPRESS OR IMPLIED AUTHORITY TO MAKE ANY REPRESENTATION, PROMISE OR GUARANTEE NOT STATED HEREIN.
No returns will be accepted without written authorization from Cumberland Rubber Supply. Failure to comply with the above constitutes a waiver of your claim.
Changes, Reschedules and Cancellations:
Buyer may request to modify the designs or specifications for the items sold hereunder as well as the quantities and delivery dates thereof, or may request to cancel all or part of this order, however, no such requested modification or cancellation shall become part of the contract between Buyer and Seller unless accepted by Seller in a written amendment to this agreement. Acceptance of any such requested modification or cancellation shall be at Seller's discretion, and shall be upon such terms and conditions as Seller may require.
Tooling:
A tooling charge may be imposed for any special tooling, including without limitation, dies, fixtures, molds and patterns, acquired to manufacture items sold pursuant to this contract. Such special tooling shall be and remain Seller's property notwithstanding payment of any charges by Buyer. In no event will Buyer acquire any interest in apparatus belonging to Seller which is utilized in the manufacture of the items sold hereunder, even if such apparatus has been specially converted or adapted for such manufacture and notwithstanding any charges paid by Buyer. Unless otherwise agreed, Seller shall have the right to alter, discard or otherwise dispose of any special tooling or other property in its sole discretion at any time.
Taxes:
Unless otherwise indicated on the face hereof, all prices and charges are exclusive of excise, sales, use, property, occupational or like taxes which may be imposed by any taxing authority upon the manufacture, sale or delivery of the items sold hereunder. If any such taxes must be paid by Seller or if Seller is liable for the collection of such tax, the amount thereof shall be in addition to the amounts for the items sold. Buyer agrees to pay all such taxes or to reimburse Seller therefore upon receipt of its invoice.
If Buyer claims exemption from any sales, use or other tax imposed by any taxing authority, Buyer shall save Seller harmless from and against any such tax, together with any interest or penalties thereon which may be assessed if the items are held to be taxable. International transactions may be subject to local taxes, tariffs, customs fees, and other surcharges, which are the full responsibility of the buyer.
Damaged Goods and Shortages:
Upon delivery the buyer should inspect and count articles before accepting shipment. Damages and shortages should be documented on the freight bill. If concealed damage is discovered after receipt of merchandise, a written request for inspection should be made to the delivering carrier. Be sure to retain all packaging. Claims for shortages, damage and concealed damage must be made without delay by the consignee with the delivering carrier. According to ICC regulations, filing claims with freight carriers is the responsibility of the consignee.
Price Changes:
Prices are subject to change without notice. Every effort will be made to announce price changes in advance. However, since we have no control over cost increases to us, we may be forced to increase prices without prior notice; in that case, the purchaser will be notified of the increased price before the order is filled.
Quotations:
Upon request, we will confirm a verbal price quotation in writing. Quotations remain firm for a period of 30 days unless otherwise specified. No verbal quotation is valid without our documented written quotation.
